TERMS & CONDITIONS FOR MARKET MOVERS (POLYMER SUPPLIERS)

BSB Fortrade Pvt. Ltd. (BFPL)

1. Market Mover Onboarding Policy

1.1 The Market Mover shall onboard only with duly verified company credentials as approved by BFPL.

1.2 All transactions must be executed exclusively through the verified entity registered with BFPL.

1.3 Use of any third-party or unverified entity for invoicing or transaction purposes is strictly prohibited.

1.4 BFPL reserves the sole and absolute right to approve or reject any Market Mover onboarding application without assigning any reason.

1.5 In case of deviation, including issuance of invoices from unapproved entities, BFPL reserves the right to suspend or terminate the subscription with immediate effect.

2. Subscription Plan Policy

2.1 BFPL reserves the right to modify, revise, or discontinue any subscription plan at its sole discretion without prior notice.

2.2 Subscription fees are non-refundable under any circumstances, including termination due to policy violations.

2.3 The Free Plan (if offered) shall be entirely at the discretion of BFPL and may be withdrawn at any time.

2.4 The Market Mover is granted a limited, non-exclusive, non-transferable right to use the platform; no ownership or intellectual property rights are transferred.

2.5 Platform usage is strictly restricted to domestic prime polymer trade unless otherwise specified.

2.6 Module-wise, service-wise, or feature-wise charges may be levied separately by BFPL.

3. Goods Ownership Declaration Policy

3.1 All listed inventory shall be deemed to be owned by the Market Mover.

3.2 Listing of third-party inventory is strictly discouraged; if undertaken, all associated risks, liabilities, and obligations shall solely rest with the Market Mover.

3.3 Market Movers are encouraged to list owned inventory to ensure prompt and reliable delivery.

4. Offer Listing Policy

4.1 All offers must be listed in standardized lot sizes (e.g., 10 MT, 25 MT, 42 MT, 60 MT, 100 MT).

4.2 Listing of irregular or odd quantities is not permitted.

4.3 Upon sale or commitment, the Market Mover must immediately remove or update the listing.

4.4 Misleading, fictitious, or non-market-aligned pricing is strictly prohibited and may result in immediate suspension or cancellation of subscription.

5. Documentation & Order Confirmation Policy

5.1 All transactions must be supported by system-generated Sales Orders (SO) issued through the BFPL platform.

5.2 Invoices, E-way Bills, and all statutory documents must be issued only from the verified entity.

5.3 Non-compliance shall render the transaction outside platform protection.

6. Goods Delivery Policy

6.1 Delivery of goods must strictly adhere to the terms specified in the confirmed Sales Order.

6.2 Once price and terms are agreed, the buyer shall not be liable for any subsequent increase in freight or related charges.

6.3 Market Movers shall ensure accurate quantity and quality loading and provide photographic evidence prior to dispatch.

7. Credit Transactions Policy

7.1 Market Movers are advised to utilize BFPL-associated NBFC partners for credit facilitation.

7.2 Direct book-credit transactions are discouraged and shall be undertaken entirely at the Market Mover’s own risk.

7.3 BFPL does not guarantee buyer creditworthiness or payment assurance.

8. Fair Pricing Policy

8.1 Market Movers shall maintain fair and competitive pricing aligned with prevailing market trends.

8.2 Unreasonable, speculative, or manipulative pricing practices are strictly prohibited.

9. Platform Usage Policy

9.1 BFPL acts solely as a technology platform and facilitator.

9.2 Market Movers are granted only usage rights; no ownership rights over the platform or its technology shall be construed.

10. Evidence-Based Transaction Policy

10.1 All transactions must be executed through system-generated documentation.

10.2 Logistics must be executed through BFPL-verified vendors wherever applicable.

10.3 All communications may be recorded for compliance, audit, and dispute resolution purposes.

11. Transit & Insurance Policy

11.1 Buyers are advised to obtain transit insurance independently.

11.2 BFPL and its associated vendors shall not be held liable for any loss, damage, or deterioration of goods during transit.

12. Role of BFPL

12.1 BFPL operates as an aggregator and facilitator providing platform access and allied services.

12.2 BFPL does not assume ownership of goods or liability for transaction execution between parties.

13. Claims & Quality Dispute Policy

13.1 Claims related to torn bags, moisture, contamination, old stock, plant re-accommodated material, batch mismatch, or deviation from COA shall be valid.

13.2 Claims must be settled promptly and amicably.

13.3 BFPL’s verified logistics partners may provide photographic/video evidence at the time of unloading.

14. Non-Supply & Default Policy

14.1 Failure to supply goods after confirmation may result in immediate subscription termination.

14.2 In case of non-supply due to price fluctuation, the Market Mover shall compensate the buyer for any differential loss.

15. Refund of Advance Policy

15.1 In case of failure to supply, the Market Mover must refund the full advance amount immediately without deductions.

16. Goods Return Policy

16.1 In case of non-compliance with agreed specifications, the Market Mover shall accept return of goods at its own cost, including transportation, and refund payment promptly.

17. Payment Default Policy

17.1 In case of payment default or dispute, BFPL and the affected buyer reserve the right to initiate legal proceedings jointly or independently.

18. Offer Response & Service Commitment

18.1 Market Movers are expected to respond promptly to inquiries and offers.

18.2 Persistent non-responsiveness may lead to account suspension or deactivation.

19. Ranking & Rating Policy

19.1 Buyers may rate and review Market Movers based on performance.

19.2 Such ratings shall be publicly visible and may impact platform credibility and ranking.

20. Branding & Promotional Usage Policy

20.1 BFPL reserves the right to use the Market Mover’s name, logo, and brand identity for promotional and marketing purposes.

20.2 If confidentiality is required, the Market Mover must notify BFPL in writing in advance.

21. Account Deactivation Policy

21.1 BFPL reserves the absolute right to deactivate or suspend any account for policy violations or operational reasons without prior notice.

22. Ethical Trade Practices

22.1 Market Movers shall adhere to ethical, transparent, and lawful trade practices.

22.2 Fraudulent, deceptive, or unethical conduct shall result in immediate termination and potential legal action.

23. Random Audit & Compliance Checks

23.1 BFPL reserves the right to conduct random audits, including mystery buyer checks, to ensure compliance.

23.2 Any attempt to bypass the platform or conduct off-platform transactions may result in immediate deactivation.

24. GST & Statutory Compliance

24.1 All tax liabilities, including GST, TCS, and other statutory compliances, shall be the sole responsibility of the Market Mover.

24.2 BFPL shall not be liable for any tax-related non-compliance.
